1. Introduction

AEMS is created, owned, and operated by Artisanal Collective, Inc., a Delaware, USA registered 501(c) nonprofit organization, with a principal address at:

References in these Terms to “AEMS,” “we,” “our,” or “us” refer to Artisanal Collective, Inc. and the AEMS platform and ecosystem it operates.

Welcome to AEMS (AI Empowerment & Market Access System).

These Terms & Conditions (“Terms”) govern your access to and use of the AEMS platform, website, related applications, content, tools, and services (collectively, the “Platform”).

By accessing or using AEMS, you agree to these Terms.

If you do not agree to these Terms, you may not use the Platform.


2. About AEMS

AEMS is a digital infrastructure platform designed to support artisans, organizations, collaborators, and buyers by enabling:

  • Digital product identity and visibility

  • Cultural storytelling and documentation

  • Market access and inquiry routing

  • Trade partner coordination

  • AI-guided support and communication

  • Connections to logistics, banking, and service ecosystems

AEMS functions as a coordination, visibility, and empowerment layer.

AEMS is:

  • Not an e-commerce marketplace

  • Not a payment processor

  • Not the merchant of record for transactions between participants

  • Not a replacement for trade partners, organizations, or existing business relationships


3. Eligibility

You may use AEMS only if:

  • You are legally permitted to enter into binding agreements under applicable law;

  • The information you provide is accurate and current; and

  • Your use complies with these Terms and applicable laws.

If you use AEMS on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


4. User Roles

AEMS supports multiple participant roles, including:

4.1 Artisans

Individuals or groups producing handcrafted, cultural, or heritage-based goods.

4.2 Organizations / Trade Partners

Organizations that may provide support services such as:

  • Logistics

  • Export support

  • Sales support

  • Coordination

  • Banking or payment services

  • Training or onboarding

4.3 Collaborators

Institutions or experts contributing to governance, deployment, standards, or ecosystem support.

4.4 Buyers

Individuals or organizations expressing interest in artisan products or services.

AEMS may expand, modify, or refine role structures over time.


5. Account Registration

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate information;

  • Maintain the security of your credentials;

  • Notify AEMS of unauthorized access; and

  • Accept responsibility for activity conducted through your account.

AEMS may suspend or restrict accounts that violate these Terms or create risk to the platform or participants.


6. Platform Use

You agree to use AEMS only for lawful and appropriate purposes.

You may not:

  • Misrepresent your identity or affiliations;

  • Upload unlawful, fraudulent, harmful, or misleading content;

  • Attempt to disrupt platform functionality or security;

  • Interfere with other users’ access or operations;

  • Use automated systems to scrape or harvest data without permission;

  • Violate intellectual property or cultural rights.

AEMS reserves the right to remove content or restrict access where necessary to protect participants, systems, or compliance obligations.


7. Digital Product Passports & Content

Participants may upload or create:

  • Product information

  • Images and media

  • Stories and cultural context

  • Business or operational information

  • AI-assisted content

You retain ownership of content you submit, subject to the rights granted below.

By submitting content to AEMS, you grant AEMS a non-exclusive, worldwide, royalty-free license to:

  • Host and display content;

  • Operate platform functionality;

  • Generate visibility and storytelling outputs;

  • Improve AI-assisted support systems;

  • Support ecosystem coordination and demand generation.

You represent that:

  • You have the right to submit the content;

  • Your content does not violate applicable laws or third-party rights; and

  • Any cultural or community-sensitive material is shared with appropriate authority or consent.


8. Cultural Knowledge & Heritage

AEMS recognizes the importance of cultural knowledge, traditional practices, and heritage-based creative work.

The Platform may support:

  • Cultural storytelling

  • Cultural archives

  • Identification of cultural knowledge or heritage-linked practices

  • Geographic indication (GI) or cultural IP-related visibility

AEMS does not claim ownership over community cultural knowledge.

Participants remain responsible for ensuring that materials shared through the Platform are appropriate for disclosure and use.

Future archive, verification, or cultural governance systems may be introduced over time.


9. Inquiries, Transactions & Trade Relationships

AEMS facilitates introductions, visibility, and inquiry routing between participants.

AEMS does not:

  • Guarantee transactions;

  • Guarantee buyer intent or payment;

  • Guarantee product availability or fulfillment;

  • Process payments directly;

  • Operate as the merchant of record.

Transactions, negotiations, logistics, export compliance, payment arrangements, taxes, and contractual obligations remain the responsibility of the participating parties.

Trade partner relationships are voluntary and non-exclusive unless otherwise agreed independently by participants.


10. AI-Assisted Features

AEMS may provide AI-assisted support including:

  • Suggested responses

  • Translation support

  • Pricing guidance

  • Storytelling assistance

  • Help and onboarding guidance

AI-generated outputs are provided for informational and operational assistance only.

Participants remain responsible for reviewing and approving all communications, pricing, agreements, and decisions.

AEMS does not guarantee the accuracy, legality, or suitability of AI-generated outputs.


11. Verification & Listings

AEMS may provide limited verification or listing processes for certain participants.

Verification or listing:

  • Does not constitute certification;

  • Does not guarantee reliability or performance;

  • Does not create endorsement obligations by AEMS.

AEMS may revise or expand verification procedures in future phases.


12. Fees & Future Services

Core AEMS platform access is intended to remain free for participants where possible.

AEMS may introduce:

  • Optional premium services;

  • Partner-supported services;

  • Future paid tools or integrations.

Any future fees or paid services will be communicated separately.


13. Privacy & Data Use

Your use of AEMS is also governed by the AEMS Privacy Policy.

AEMS may collect and process information including:

  • Account data

  • Product information

  • Communication records

  • Usage analytics

  • Operational metadata

This information may be used to:

  • Operate and improve the platform;

  • Support visibility and coordination;

  • Improve AI systems;

  • Generate aggregate ecosystem insights.

AEMS will take reasonable measures to protect participant information but cannot guarantee absolute security.


14. Third-Party Services

AEMS may integrate with or reference third-party systems including:

  • Banking providers

  • Logistics providers

  • Communication tools

  • Export services

  • E-commerce or visibility platforms

AEMS is not responsible for third-party services, policies, operations, or outcomes.

Your use of third-party services may be governed by separate agreements.


15. Intellectual Property

The AEMS platform, software, branding, structure, documentation, and related systems are protected by applicable intellectual property laws.

Except for participant-submitted content, you may not:

  • Copy;

  • Modify;

  • Distribute;

  • Reverse engineer; or

  • Exploit platform materials without authorization.


16. Disclaimers

AEMS is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, AEMS disclaims warranties including:

  • Merchantability;

  • Fitness for a particular purpose;

  • Non-infringement;

  • Continuous availability;

  • Accuracy of outputs or participant content.

AEMS does not guarantee:

  • Sales or income generation;

  • Buyer engagement;

  • Platform uptime;

  • Successful negotiations;

  • Regulatory compliance outcomes.


17. Limitation of Liability

To the maximum extent permitted by law, AEMS and its affiliates, contributors, partners, and operators shall not be liable for:

  • Indirect or consequential damages;

  • Loss of income or profits;

  • Business interruption;

  • Data loss;

  • Disputes between participants;

  • Third-party actions or failures.

Where liability cannot be excluded, liability will be limited to the maximum extent permitted under applicable law.


18. Indemnification

You agree to indemnify and hold harmless AEMS and its affiliates, contributors, and operators from claims, damages, liabilities, and expenses arising from:

  • Your use of the Platform;

  • Your content;

  • Your transactions or agreements;

  • Violations of these Terms;

  • Violations of applicable laws or third-party rights.


19. Suspension & Termination

AEMS may suspend or terminate access where necessary to:

  • Protect participants or systems;

  • Address violations of these Terms;

  • Meet legal or operational obligations.

You may discontinue use of AEMS at any time.

Certain provisions of these Terms survive termination, including intellectual property, disclaimers, liability limitations, and indemnification obligations.


20. Development Status & Platform Evolution

AEMS may operate through different phases, including:

  • Living Lab

  • MVP (Minimum Viable Product)

  • Future expansion phases

Features may change, evolve, be limited, or be removed over time.

Some functionality may be experimental, partially implemented, or available only to selected participants.


21. Governing Law

These Terms shall be governed by and interpreted in accordance with applicable laws determined by AEMS operating jurisdiction unless otherwise required by local law.


22. Changes to Terms

AEMS may update these Terms from time to time.

Updated Terms become effective upon posting unless otherwise stated.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.
